UCC 1-308 Without Prejudice
Performance or Acceptance Under Reservation of Rights.
A provision within the Uniform Commercial Code (UCC) that allows a party to perform or accept performance under a contract without waiving their reserved legal rights. This means that by explicitly stating a reservation of rights—using phrases like "without prejudice," "under protest," or similar language—a party can fulfill their obligations under a contract while safeguarding their ability to later challenge or dispute the contract's terms, particularly if there is a dispute over its validity or fairness.
The primary purpose of UCC 1-308 is to prevent a party from unintentionally waiving their rights simply by performing or accepting performance, which could otherwise be interpreted as an agreement to the contract's terms. For example, if a landlord demands a higher rent and threatens eviction, a tenant might pay the increased amount to avoid immediate eviction but add "without prejudice UCC 1-308" to the payment to reserve the right to contest the rent increase later. This provision is particularly useful in situations where a party needs to comply with a demand but is uncertain about the legal standing of the demand.

A party that with explicit reservation of rights performs or promises performance or assents to performance in a manner demanded or offered by the other party does not thereby prejudice the rights reserved. Such words as "without prejudice," "under protest," or the like are sufficient.
